Ageas unified share
On 27 September 2001, the Fortis Board announced its decision to unify its existing share structure through the creation of a new single listed security: the Fortis share. The Fortis share replaces the Fortis (B) and Fortis (NL) shares. The share has dual primary listings on Euronext Amsterdam and Euronext Brussels. Fortis also maintained a secondary listing on the Luxembourg Stock Exchange, and its sponsored ADR program in the United States. The Fortis share has been listed and traded since Monday 17 December 2001.
Since 30 April 2010 the share has been quoted with the name Ageas (Ticker : AGS).
The Board of Directors of Ageas took the decision in accordance with the Luxembourg Stock Exchange, to delist the Ageas share (ISIN Code BE0003801181) from the official list of the Luxembourg Stock Exchange and to withdraw their dealing on the Bourse de Luxembourg Market.
- The delisting of the Ageas share from the official list of the Luxembourg Stock Exchange and their withdrawal from the dealing on the Bourse de Luxembourg Market will be effective on 8 March 2012.

- A single listed security has a number of advantages relative to Ageas’ previous dual shareholder structure. These advantages include the following:
- Creation of a single investment opportunity in Ageas.
- Increased index weighting. The major international indices have included Ageas at its full market capitalisation, subject to free float adjustments.
- Enhanced liquidity. Ageas shares are traded on both Euronext Amsterdam and Euronext Brussels. Investors can buy the shares on one market and sell them on the other.
- Increased stock market visibility as a European blue-chip financial institution. The Ageas share enhances Ageas’ status as a blue-chip financial services stock on a European and global level.

- * On 25th of January 2012 Ageas finalised the share buy-back programme : 192,168,091 shares were bought back in total. Ageas’s Board has decided to propose the cancellation of the bought back shares at the next General Meeting of Shareholders (on 25/04/12 in Brussels and on 26/04/12 in Utrecht). The Board will ask at the same Meeting, as usual, for the renewed authorization from the shareholders to purchase up to 10% of its remaining outstanding shares.
