For the M&A department in its HQ in Brussels, we are looking for a Vice-President M&A.
 

Your function

The main objective of the M&A Department is to support the Executive and Management Committee in the identification and execution of M&A opportunities for the group. The M&A department should improve in the broadest sense, the quality of decision making with respect to M&A decisions and ensure a specific skill-set and expertise required for the most optimal execution of M&A projects. In addition the department acts as independent consistency check and challenger role for proposals expressed by the various businesses.

The Vice-President M&A reports to the Group Director M&A who leads the department and manages the team of M&A experts that are ensuring the role of the M&A department. The focus of the vice-president is more on execution and he/she will work in very close collaboration with the Director M&A, a more senior professional who focuses on relationship and management interaction. In order to fulfil the role as Vice-President M&A, one needs to be sparring partner for many high level professionals such as Investment bankers, Lawyers, Investors and other external counsels as well as Executives within the Group. The Vice-President has limited formal powers.

Your role

The M&A Vice-President will have close interactions and exchanges with the Director M&A but should be able to work independently on various specific projects under the steering of the Director or Group Director M&A.

More specifically, he will take a contributing role in the following M&A related processes:

  • Identifying and Advising on M&A opportunities

As a matter expert, assist in the evaluation of potential acquisition and divestiture files or opportunities for JV’s, alliances, spin offs,… across the group in order to advise the Management Committee on opportunities that fit overall Ageas strategy. Includes company valuation exercises and assessment of potential deal structuring/financing, as well as participate in legal documentation processes.

  • M&A file Project Management

Support in development, implementation and management of reporting process to map, track and monitor the progress of the key M&A projects, prioritize M&A projects, initiate corrective actions when required and evaluate finalised projects and results, in co-operation with the involved departments within Ageas group, to ensure the successful implementation of the projects.

Acts in the project management on identified M&A files, setting up and coordinating a multi-disciplinary team of internal specialists (due diligence, legal,..) and following negotiations with external parties (investor bankers, M&A candidate,…) in order to ensure effective roll out and follow up of the M&A file from start to closure, within deadlines and legal/regulatory requirements.

  • M&A file Expert Advice

Support and learns in the M&A expert role of the Group Director and Director on identified M&A files and as a business partner for project team members to ensure effective deal structuring, negotiation and closing, maximally aligned with Ageas group M&A process procedures and guidelines.

  • M&A file follow up

Participates in follow up on M&A file issues after closure, working closely with operational management in the operating companies, in order to minimize the number of management escalations after closure.

The Vice-President M&A should be flexible to travel abroad if need be. 

 

Your profile

  • Holder of a master's degree, preferably in economics, finance, law or business administration

  • 5-10 years' experience in corporate finance or in the financial industry

  • Knowledge of the international insurance market, including a well-developed understanding of the dynamics of the financial services industry and of Ageas core business

  • A track-record of executed transactions, and with the management of M&A and Business development projects,

  • Financials and Corporate Finance knowledge

  • Knowledge of the M&A process

  • Sound understanding of Strategy concepts

  • Being able to convince and fill people with enthusiasm to work together and share expertise

  • Project Management skills & leading a project team

  • Having strong communication and organisation skills

  • Strong negotiation skills

  • International experience

  • Showing a high mobility and a high flexibility to diversity
